General contracting conditions and license for use of Dedica services.

1. Contractual relationship and purpose
These General Contracting Conditions govern in a binding manner the legal and commercial relationship between Francesc Murcia Mila (hereinafter, "Dedica") and any natural or legal person (hereinafter, "the Customer") who purchases or contracts personalized digital content generation services (musical and audiovisual files by Artificial Intelligence) offered through our mobile application and web platform. Purchasing any package or additional service implies reading, understanding, and unconditional acceptance of this document.
2. Plans, packages, and pricing details
Dedica makes available to the Customer a pricing catalog structured according to usage needs. Current prices are always shown in Euros (€), with the 21% Value Added Tax (VAT) applicable in Spain already included in the final amount. Dedica reserves the right to modify pricing at any time, guaranteeing the Customer the price shown at the exact moment the transaction is initiated.
A) Main generation packages:
- Simple Plan (€9.90): Grants the right to perform one (1) song generation. Includes lyric drafting by the language model, access to a preview before payment, definitive delivery of the high-quality song upon transaction validation, and the personalized gift page (public URL with photo, message, and optional PIN).
- Gift Pack Plan (€14.99): Grants the Customer a batch of three (3) independent generation credits/tokens loaded into their account. Each credit allows completing one full high-quality song flow. Credits do not expire while the account remains active.
- Dedica Pro Plan (€19.90 / month): Recurring monthly subscription modality. Grants the Customer a total of five (5) song generation credits per month. Unused credits within the monthly billing period will expire and cannot be carried over to the following month. Payment will be automatically charged every thirty days to the registered payment method unless the Customer cancels the subscription from their panel before the renewal date.
B) Additional services (coming soon):
- Social Video Extra (+€4.99): Will generate an audiovisual file (.MP4) in vertical format (9:16), with lyric subtitles, ready for TikTok, Instagram Reels, or WhatsApp. Available soon.
3. Integrated payment system, security, and pre-flight hold clause
Payment management and processing is carried out entirely and independently through the international secure gateway Stripe. Dedica never stores, displays, or has access to the Customer's full credit or debit card data, delegating financial data security under strict international PCI-DSS regulations.
To safeguard Customer trust and avoid improper charges due to external technical failures, the Platform implements an automated "Authorization and Manual Capture" (Auth & Capture) system:
- When the Customer clicks "Buy," Stripe places a hold on funds (Authorization) on the Customer's card. The money is blocked by the Customer's bank but is not transferred to Dedica.
- The Dedica backend asynchronously triggers requests to OpenAI and music composition APIs. The complete process takes between 2 and 5 minutes.
- If the music API successfully generates the file and it is downloaded and securely indexed on Dedica's own storage servers (Supabase), the backend sends an automated order to Stripe to execute definitive payment "Capture." The money is formally charged.
- If the external provider's API fails, becomes saturated, or rejects the lyrics due to automatic moderation filters, the Dedica backend sends a cancellation order to Stripe. The hold is instantly voided and blocked funds are released on the Customer's card immediately, with no additional costs or fees.
4. Full exception to the right of withdrawal (strict no-refund policy)
In strict compliance with Article 103, section m) of Royal Legislative Decree 1/2007, of November 16, approving the consolidated text of the General Law for the Defense of Consumers and Users of Spain, the Customer is clearly and explicitly informed that THE RIGHT OF WITHDRAWAL AND REFUND DOES NOT APPLY to transactions made on Dedica.
European law establishes that consumers lose the 14 calendar days of regret when contracting the supply of digital content not provided on a tangible medium, provided execution has begun with the user's prior express consent.
Since Dedica songs (MP3 or WAV) and synchronized lyric videos constitute intangible digital goods, crafted instantly following the Customer's specifications in detail (names, dates, musical styles, and private anecdotes) and personalized on an exclusive basis, the Customer expressly accepts and consents that once algorithmic processing has begun and audio has been generated, they irrevocably lose the right to withdraw from the contract. Refund requests based on the Customer's subjective aesthetic criteria regarding voice tone, lyric rhyme, or melody rhythm generated by Artificial Intelligence will not be accepted.
5. Intellectual property, license conditions, and prohibited uses
Global intellectual property rights over artificially created audio and video works are subject to international technological regulations. Upon payment of the corresponding fee, Dedica grants the Customer a License for Exclusively Personal, Private, and Domestic Use of the resulting audio and video track, on an indefinite and worldwide basis.
Under the conditions of this private license, the following is STRICTLY PROHIBITED for the Customer or third parties:
- Commercially exploiting created musical tracks or videos, selling, renting, sublicensing them, or using them as soundtrack in corporate advertising campaigns, corporate videos, radio spots, or commercial television.
- Distributing or publishing generated songs on commercial digital music distribution and streaming platforms (such as Spotify, Apple Music, Tidal, Amazon Music, YouTube Music, etc.) simulating or declaring that they correspond to authorship, performance, or composition of entirely human origin.
- Registering lyrics or musical scores with collective rights management entities (such as SGAE in Spain, BMI or ASCAP in the USA) in order to claim royalties for performance or reproduction rights of generated works.
Any breach of these license restrictions will result in immediate revocation of the right of use and entitle the Owner of Dedica to pursue corresponding legal remedies.
6. File persistence and library availability policy
Dedica commits to immediately downloading musical files generated by the origin provider's API (avoiding their purge from external servers after 14 days) and storing them in its own cloud infrastructure structured on Supabase. Dedica guarantees that the final audio file purchased by the Customer will be available for streaming playback and download within their private panel ("My Library") indefinitely, provided the Customer maintains an active user profile in the mobile or web application.
However, it is the Customer's exclusive responsibility to download a local backup copy to their own physical storage devices once high-definition audio is unlocked. Dedica is exempt from liability in case of file loss caused by voluntary profile deletion by the user, cyber disasters, or massive cloud network outages due to technical force majeure beyond our business control.
7. Customer lyric obligations and liability
The Customer represents and warrants that texts, stories, and anecdotes provided for song lyric generation do not infringe third-party intellectual property rights (for example, copying entire poems or registered lyrics from other artists), do not violate third parties' rights to honor, personal and family privacy, or their own image, and do not contain defamatory, insulting, xenophobic, or hate-inciting expressions. Dedica reserves the right to unilaterally cancel any generation process whose lyrics clearly violate these ethical and legal standards, without generating any right to compensation.
